These Terms and Conditions ("Terms") govern your use of the website at bugout-tech.com (the "Site") operated by Bugout Tech LLP, a Limited Liability Partnership incorporated under the Limited Liability Partnership Act, 2008, and registered in Maharashtra, India ("Bugout Tech", "we", "us", or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please discontinue use of the Site immediately.
1. Use of the Site
You agree to use the Site only for lawful purposes and in a manner that does not:
- Infringe the rights of any third party.
- Violate any applicable local, national, or international law or regulation.
- Transmit any unsolicited or unauthorised advertising or promotional material.
- Introduce any virus, trojan, worm, or other harmful or technologically harmful material.
- Attempt to gain unauthorised access to any part of the Site or its related systems.
2. Services and Engagement
The Site provides information about Bugout Tech's software development services. Submission of an inquiry form on the Site does not constitute a binding contract or commitment by either party. A formal engagement is only established upon execution of a written Services Agreement or Statement of Work signed by authorised representatives of both parties.
All services are subject to the specific terms, timelines, deliverables, and payment schedules defined in the applicable Services Agreement. In case of conflict between these Terms and a Services Agreement, the Services Agreement prevails.
3. Intellectual Property
All content on the Site — including text, graphics, logos, images, and software — is the property of Bugout Tech LLP or its content suppliers and is protected by Indian and international copyright and intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any Site content without our prior written permission.
Intellectual property rights in custom software developed for a client are governed by the applicable Services Agreement. Unless otherwise specified, upon full payment, clients receive a full assignment of IP in the custom deliverables. Bugout Tech retains rights to its pre-existing tools, frameworks, libraries, and methodologies.
4. Confidentiality
Any business, technical, or financial information you share with us through the Site or during pre-engagement discussions is treated as confidential. We will not disclose such information to third parties without your consent, except as required by law or as necessary to provide our services. For formal engagements, a Non-Disclosure Agreement (NDA) is available upon request.
5. Disclaimer of Warranties
The Site and all information on it are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Bugout Tech does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.
6. Limitation of Liability
To the fullest extent permitted by applicable law, Bugout Tech LLP, its partners, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Site or its content, even if we have been advised of the possibility of such damages.
Our total cumulative liability arising from or related to the use of the Site (not from an executed Services Agreement) shall not exceed ₹10,000 (Indian Rupees Ten Thousand).
7. Third-Party Links
The Site may contain links to third-party websites. These links are provided for your convenience only. We have no control over the content of those sites and accept no responsibility for them or for any loss or damage that may arise from your use of them.
8. Privacy
Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
9. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Kolhapur, Maharashtra, India.
The parties agree to attempt to resolve any dispute amicably through good-faith negotiation for a period of 30 days before initiating legal proceedings.
10. Changes to These Terms
We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised date. Your continued use of the Site after any changes constitutes your acceptance of the updated Terms.
11. Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
